Terms of Service

1. Acceptance of these terms

By requesting a trial or quote, filing a complaint, or using IMSplus, you agree to these terms on behalf of yourself and the organization you represent. If you don't agree, please don't use our site or platform.

2. Our services

TKC Institute operates tkcinnovate.com, where organizations can request a trial or quote for the IMSplus ecosystem, and IMSplus, a quality management platform. IMSplus and its related modules (currently IMSplus and ServicePlus, with others planned) are provided as described on our site at the time of your request; features and availability may change as the platform develops.

3. Trials and quotes

• A trial runs for 60 days from the date it's created. You can request an extension before it ends; approval is at our discretion.
• We allow one active trial per organization at a time. Signing up requires a work email address from your organization, not a personal email account.
• A quote we send is provisional until we mark it as final. A provisional quote is our best estimate and is subject to change; only a quote we've explicitly finalized is a firm price.
• Requesting a trial or quote doesn't create a paid subscription or any payment obligation. Becoming a paying customer is a separate step we'll agree with you directly.

4. Accounts and security

If your organization uses IMSplus, you're responsible for:

• Keeping your password and two-factor authentication device secure, and not sharing your login with anyone else
• The accuracy of information your organization's users provide
• Notifying us if you believe an account has been compromised

Your organization's administrator is responsible for managing who has access to your organization's IMSplus account and at what permission level.

5. Acceptable use

You agree not to:

• Attempt to access another organization's data, account, or trial, or attempt to bypass the separation between organizations on IMSplus
• Attempt to gain unauthorized access to our systems, probe for vulnerabilities, or interfere with the platform's normal operation
• Use the trial or platform for any unlawful purpose, or to submit false or misleading information when requesting a trial, quote, or filing a complaint
• Reverse-engineer, resell, or sublicense access to IMSplus without our agreement

6. Your data

Any documents, records, or other content your organization uploads or creates in IMSplus remains your organization's property. We process it to deliver the service to you, as described in our Privacy Policy, and don't use it for any other purpose. If your account is closed, reasonable arrangements can be made to export your organization's data beforehand, contact us to arrange this.

7. Intellectual property

The IMSplus platform, its modules, and the tkcinnovate.com website, including their design, code, and content, are the property of TKC Institute. These terms don't grant you any rights to our intellectual property beyond what's needed to use the services as intended.

8. Suspension and termination

We may suspend or end a trial or account if we reasonably believe these terms have been violated, or if continued access would pose a security risk to us or to other organizations on the platform. You can request that your trial or account be closed at any time by contacting us.

9. Disclaimers

Our services, especially anything provided during a trial, are provided "as is" without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the platform will be uninterrupted, error-free, or meet every requirement of your specific use case.

10. Limitation of liability

To the fullest extent permitted by law, TKC Institute won't be liable for indirect, incidental, or consequential damages arising from your use of our site or IMSplus, including during a trial period. This section doesn't limit any liability that can't legally be limited in your jurisdiction.

11. Complaints

If something isn't working as expected, or you have a concern about our service, please use our complaint form. We'll log it, investigate, and follow up with you directly.

12. Governing law

These terms are governed by the laws of Jamaica, without regard to conflict-of-law principles.

13. Changes to these terms

We may update these terms from time to time. If we make material changes, we'll update the date at the top of this page. Continued use of our site, a trial, or IMSplus after a change means you accept the updated terms.
